Commercial Real Estate Transactions

Commercial real estate transactions can be somewhat complex and may take numerous forms including transferring a business with real estate, transferring of real estate held by the business, transferring of the business without any real estate, etc. The transfer of the business itself can be structured as a Business Stock Purchase (purchasing the entire company – assets and liabilities) or a Business Acquisition (purchasing the business assets only). As well, the transaction may include the transfer of personal property (such as equipment, furniture, trademarks, vehicles, etc.).

Jeff frequently represents landlords and tenants in negotiating and drafting commercial leases for office, retail, industrial and other leases including ground leases.

Jeff can also assist you with commercial real estate development matters. Jeff has worked with numerous commercial real estate developers/builders in the Puget Sound region for many years involving in excess of fifty real estate developments. 

Business Matters

Jeff also handles various other business matters including, analysis of appropriate entity choice, preparing formation documents, filing the required documents with the various applicable governmental agencies, preparation of governing documents for the entity such as operating agreements, shareholder agreements, partnership agreements, bylaws, resolutions and other corporate governing documents. Jeff also handles winding up, dissolution and termination of business entities.
